The Values Charter

The Charter reflects the corporate culture of the AREVA group. It enables teams to carry out their jobs in full awareness of their rights, but also their responsibilities. Adopted in 2003, the Values Charter applies to all activities operated by the group in all countries where it is present.

The Charter reflects the corporate culture of the AREVA group. It enables teams to carry out their jobs in full awareness of their rights, but also their  duties  Adopted in 2003  with updates published in 2005, 2009 and beginning of 2012 , the Values Charter applies to all activities operated by the group in all countries where it is present.

This Charter is applicable to all managers and employees. The management is responsible  to ensure  its implementation at every level.  The Charter  combines  compliance to the laws and regulation and abiding by the values, principles  of action and  rules of conduct  of the AREVA Group. 

The preamble to the Values Charter outlines our commitment to the major concerns of our times: sustainable development, respect for  the Universal Declaration on  Human  Rights and adherence to international principles as defined by the OECD and the UN, such as the Global Compact.  It also refers to two sector-driven sets of good practices that are implemented by AREVA : the EITI (Extractive Industries Transparency Initiative) for our mining activity and the Nuclear Power Plant Exporters' Principles of Conduct that where launched by the Carnegie Endowment For International Peace at the end of 2011

    To offer products and services that enable them to ensure their development while assuming their responsibilities.

    To achieve this objective, AREVA guarantees its customers:

    • Constant availability for listening to their concerns,
    • Respect for their commitments made to them,
    • Respect for their culture and the protection of their image,
    • Respect for the confidentiality of the data and expertise they entrust to us.

    Shareholders

    Our objective with regards our shareholders

    To ensure growth and the return of capital they have invested in the group.

    Our action principles

    To achieve this objective, AREVA ensures:

    • respect for the rules set out by the financial market authorities,
    • the provision of accurate, relevant financial information for its shareholders,
    • equal treatment for all shareholders.

    Employees

    The group's employees all have rights and responsibilities within the group.

    The management objective with regards employees

    The group's employees represent a wide variety of nationalities and origins. The Management must increasingly reflect this diversity.

    Our action principles

    Management ensures:

    • that staff have the resources and working conditions that enable them to develop professionally,
    • sincere and loyal social dialogue,
    • that employees are offered training plans to maintain their level of expertise,
    • that the private lives of employees are respected and that the group shall remain neutral with regard to each person's political opinions and beliefs. Conversely, AREVA prohibits all indoctrination in the workplace.

    For all employees, acting in the customers interest involves:

    • demonstrating professional conscientiousness, skill and thoroughness;
    • carrying out our work in total transparency: operations must be fully traceable;
    • having integrity, respecting laws and regulations;
    • immediately raising the alarm: staff must be able to pass on the information necessary for proper operation of the group or to warn their supervisors of any malfunction in all circumstances;
    • being concerned with the excellence of our services and our products;
    • ensuring the transmission of knowledge useful to our activities.

    Suppliers and subcontractors

    Our objective

    To build a lasting partnership with our suppliers and subcontractors, based on loyalty, fairness, objectivity and mutual respect.

    Our action principles

    Building lasting partnerships requires that:

    • our suppliers, subcontractors, financial partners, consultants and commercial intermediaries adhere to our Values Charter;
    • their own suppliers, subcontractors and industrial partners also adhere to the Charter;
    • we protect their image and their confidential data;
    • we reserve the right to verify the compliance of their practices with our values at any time.

    The company, the planet

    Our objective

    To respect the environment and preserve natural resources. This is AREVA's commitment to local authorities, civil society and the planet.

    Our action principles

    This respect comes primarily through communication and transparency. The group therefore undertakes to:

    • explain its strategic and technological choices;
    • provide honest information on its activities and conduct, in full compliance with professional ethics;
    • confirm its desire for openness, particularly by participating in public debate.

  • Rules of conduct

    International treaties

    As part of its nuclear activities, the group will collaborate only with state companies, or with states themselves, that have ratified international non-proliferation agreements.

    AREVA also respects national provisions regarding the export of nuclear materials in countries where the group is present.

    Conflicts of interest

    Each employee must demonstrate their loyalty, and therefore:

    • make known to his or her superiors any situation where there may be a conflict of interest with those of the group,
    • not participate in meetings, decisions or analyses where their personal interests, or those of their friends and families, may be involved.

    Furthermore, to avoid any form of favoritism, the recruitment of a family member may only be made with the agreement of supervisors.

    Insider trading

    Within the group, issues of confidentiality are paramount.

    AREVA expects its employees to be aware of:

    • their responsibility for discretion with regard to their friends and families,
    • the risks connected to insider trading.

    Group managers also undertake not to distribute privileged information unless otherwise authorized.

    Gifts, industrial advantages

    Objectivity and integrity govern the relationships between group employees and customers, suppliers and partners.

    The general attitude to be adopted is therefore as follows:

    • give notice of any attempt at corruption, solicitation or suspicious proposals,
    • avoid situations with any ambiguity in this regard.

    Gifts

    It is prohibited to offer or receive the gift of goods or services with a value of more than 100 euros. Only formal exchanges may sometimes be exempt from this rule.

    Payments

    All group entities and managers must be able to justify the origin and usage of any amount of money.

    In order to guarantee this transparency, AREVA undertakes to:

    • guarantee that the subject of any payment is precisely described in the contractual and accounting documents (payment may not take place if this is not done);
    • guarantee the identification of the payer or beneficiary in all payments, transmitting all contracts with commercial intermediaries to the legal or financial management.

    Political funding

    No company in the group is permitted to play a political role. No entity or company shall pay any funds or provide any service to an elected representative.

    In OECD countries which authorize such practices, the group may make a financial contribution to electoral campaign funds solely with legal, transparent payments.

    Patronage, donations, humanitarian initiatives

    The group's patronage policy is managed by the Patronage and Partnerships Committee.

    Spirit

    Patronage and donations are guided by our AREVA values. Administrative or commercial counterparties are prohibited.

    Methods

    The group acts only as a partner, with no responsibility to the contracting owner or operator. The conduct of projects is left under the responsibility of the initiators.

    Furthermore, AREVA cannot make any donation for state or local administration to private individuals. Similarly, payments in cash are prohibited.

    Competition

    AREVA and its employees comply with French and European competition law. The group respects the competition rules in countries where it operates.

    Protection of assets and personnel

    Employees must give notice of any anomaly identified in the area of protecting assets and personnel.

    People

    Our requirements are very stringent in this area. AREVA undertakes to perform its activities:

    • in compliance with health, safety and environmental protection rules;
    • with respect for human dignity, therefore prohibiting any harassment and any infringement of human and children's rights.

    Brand reputation and image

    Our reputation is key to our success. Employees ensure that:

    • they do not harm the image of the group, its reputation or its credit;
    • they do not disparage or indulge in ostentatious, uncivil or informal behavior with their counterparts.

    Intangible assets

    Employees undertake to protect the group's confidential information.
